2. Scope of Services

GNSIT LLC (“GNSIT”, “we”, “us”, “our”) provides professional Information Technology services, including but not limited to:

  • Managed IT Services
  • Backup & Disaster Recovery Solutions
  • Cybersecurity Services (including MDR, ransomware protection, monitoring, and incident response assistance)
  • AI Agents, AI automation, and custom AI-based solutions
  • Cloud, on-premise, and hybrid IT infrastructure services
  • Consulting, implementation, and maintenance services

Specific services, deliverables, pricing, and service levels are defined in individual agreements, proposals, Statements of Work (SOW), or subscriptions.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information required for service delivery
  • Maintain valid licenses for all third-party software unless otherwise agreed
  • Follow recommended security practices and usage guidelines
  • Notify GNSIT promptly of any suspected security incident, data loss, or system malfunction
  • Ensure compliance with applicable laws and regulations related to their business

Failure to meet these responsibilities may limit GNSIT’s ability to provide services and may release GNSIT from related liability.

4. Backup & Disaster Recovery Services

  • GNSIT provides backup solutions designed to reduce the risk of data loss, not to guarantee the preservation of data.
  • Backup success depends on multiple factors, including system availability, network connectivity, hardware condition, third-party software, and client cooperation.
  • The Client is responsible for verifying the integrity and completeness of restored data after recovery.
  • GNSIT is not liable for data loss caused by hardware failure, software defects, cyberattacks, user error, force majeure events, or third-party provider outages.

5. Cybersecurity Services

  • Cybersecurity services are risk-mitigation services, not a guarantee of complete protection.
  • No security system can prevent all cyber threats, breaches, or ransomware attacks.
  • GNSIT does not guarantee that security incidents will never occur.
  • The Client remains responsible for internal policies, user behavior, credential management, and regulatory compliance.

6. AI Agents & Automation Solutions

  • AI solutions are provided “as is” and “as available” and may produce probabilistic, automated, or interpretive results.
  • AI outputs should not be considered legal, medical, financial, or compliance advice unless explicitly stated in writing.
  • The Client is responsible for reviewing, validating, and approving AI-generated outputs before they are used in business.
  • GNSIT is not responsible for decisions, actions, or outcomes resulting from AI-generated data or recommendations.

7. Third-Party Services & Vendors

GNSIT may use third-party platforms, cloud providers, software vendors, and data centers.

GNSIT is not responsible for:

  • Downtime or failures caused by third-party providers
  • Changes in third-party pricing, policies, or availability
  • Data loss or service interruption originating outside GNSIT’s direct control

8. Fees, Billing & Payments

  • Fees are defined in proposals, contracts, or subscriptions
  • Invoices are due according to the agreed payment terms
  • Late payments may result in service suspension
  • All fees are non-refundable unless explicitly stated otherwise
  • Taxes are the Client’s responsibility unless legally required otherwise

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary, technical, and business information disclosed during the engagement.

This obligation survives termination of services.

10. Data Protection & Privacy

  • GNSIT processes data solely for service delivery purposes
  • The Client retains ownership of all data
  • GNSIT implements reasonable technical and organizational security measures
  • GNSIT is not responsible for data protection violations caused by Client actions or third-party systems

11. Limitation of Liability

To the maximum extent permitted by law:

  • GNSIT’s total liability shall not exceed the amount paid by the Client for services during the preceding 3 months
  • GNSIT shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption

12. Indemnification

The Client agrees to indemnify and hold harmless GNSIT LLC from any claims, damages, losses, or expenses arising from:

  • Client misuse of services
  • Violation of laws or regulations
  • Unauthorized access caused by Client negligence
  • Use of AI-generated outputs

13. Termination

Either party may terminate services in accordance with the terms of the applicable agreement.

Upon termination:

  • Outstanding invoices become immediately due
  • Access to services may be revoked
  • Data retention follows agreed policies or legal requirements

14. Force Majeure

GNSIT is not liable for delays or failure to perform caused by events beyond reasonable control, including natural disasters, cyber warfare, government actions, or major infrastructure failures.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

16. Changes to Terms

GNSIT reserves the right to update these Terms at any time.

Updated Terms will be published on the company website or within the Odoo system and become effective upon publication.
